ARTICLE 1 Name and Objects

Section 1  The name of the club shall be Sneak Agility Club, hereinafter referred to as the Club.

Section 2  The objects of the Club shall be as follows:

    a) To encourage the positive participation of the dogs in sport, specifically dog agility.

    b) To promote public appreciation of dog sports, specifically dog agility, by holding practice sessions, public demonstrations, clinics, exhibitions, matches, trials, and/or dog-related activities.

    c) To do all in its power to protect and advance the interests of all dogs in the sport of dog agility.

    d) To promote good sportsmanship, cooperation, and enjoyment among Club members, other agility groups, and fellow dog enthusiasts at all times.

    e) To conduct agility matches and trials under the rules of recognized national agility organizations.

    f) To do any and all necessary functions to enhance the purposes of the Club, although not heretofore delineated.

Section 3 The Club shall not be conducted or operated for profit and no part of any profits or remainder or residue from dues or donations to the Club shall inure to the benefit of any member or individual.

Section 4 The members of the Club shall adopt and may from time to time revise such bylaws as may be required to carry out these objectives.  

ARTICLE 2  Membership

Section 1 Types of Membership: There shall be three (3) types of membership open to all who subscribe to the purposes of the Club and meet the eligibility requirements described on Section 3 of this article.

    Active: An active member is entitled to vote and hold office. An active member assists at practices/classes he/she attends, and satisfies the membership responsibilities described in Section 5 of this article. There are three sub types of Active members: Single membership, Family membership (two or more people residing in the same household), Junior membership (18 years old and under).

    Contributing: A contributing member will meet all the requirements of an active member and will in addition instruct classes for consideration both practical and financial as determined by consensus of the Board of Directors and the Training Committee.

    Associate: An associate member will have no voting privileges and cannot hold an elected office. They are not eligible for club awards and will not qualify for club discounts on classes or other club functions. An associate member will receive newsletters and minutes and may attend meetings and functions. Associate members will be given first consideration when, and if working slots become available at club sponsored seminars and/or workshops. If after one year of being an associate member the associate member wishes to become an Active member of the club, he/she must still fulfill the requirement of one full session of class training at the nonmember rate but, by being an associate, the attendance at a club meeting or club function may be waived. At the Board’s discretion, the fulfillment of one full session of class training requirement may be waived.

Section 2 Dues and Fees: At the last meeting of the Board of Directors in each Club year, the Directors shall set the membership dues and fees for the following Club year.

    a) Setting dues and fees is the responsibility of the Board.

    b) This yearly review allows the Club maximum flexibility to adjust dues and fees as need be, including prorating dues for those who join the Club late in the Club year, setting fees for practices/classes on whatever night(s) they might occur, and excusing entry fees for trial committee members.

    c) Membership dues for established members shall be payable on or before the first day of the Club year. Until a member’s dues are paid, or when a membership lapses due to nonpayment of dues, the handler will automatically be subject to non-member training fees when attending Club classes.

    d) Annual dues shall not be refunded in whole or in part if a member resigns or is expelled from the club.

Section 3 Eligibility for membership: Any person is eligible for membership in the Club. 

Section 4 Application for membership: Each eligible applicant for membership shall apply as follows:

    a) The applicant for membership shall apply on a form approved by the Board of Directors and which provides that the applicant agrees to abide by the Constitution and Bylaws, rules, policies and procedures of the Club. Dues payment for the current year shall accompany the application.

    b) The completed application shall be filed with the Secretary.

    c) Applicants may be elected to membership at any meeting of the Club by a majority of those members present.

    d) Until the membership application is voted upon by the Club, the applicant shall continue to be considered a non-member at practices/classes and must pay the designated non-member fee, if any. 

    e) Applicants must have been training with the Club for at least one full session of classes and attend at least one Club meeting or helped at a Club function before the application is voted on.

    f) Applicants request to be a member shall be announced at the first closest meeting that the application is submitted and the announcement shall be posted in the minutes from that meeting. The applicant shall be voted on at the Club meeting following the posting.

Section 5 Membership responsibilities: Each member must satisfy the Club’s membership responsibilities in order to be considered a member in good standing. Both active and contributing members must be in good standing in order to exercise their voting privileges or run office.

The membership responsibilities for active members are as follows:

    a) All active members who attend practice sessions/classes either arrive early enough to help set up equipment or stay until the end of practice/class to help take down equipment. No member may use any equipment until setup is complete. No member may use any equipment while it is being taken down.

    b) All members who attend practice/classes abide by the Club’s safety rules, policies ,procedures and guidelines, show consideration for other handlers at all times and leave equipment properly set up after using it.

    c) All active members who attend practice/classes may be asked to help conduct run throughs by acting as a steward, time keeper, judge or scribe.

    d) All active members shall participate in the preparation and execution of at least one half (1/2) of the Club’s official events (trials, matches, demonstrations, open houses, fund raisers, equipment repairs, etc.)

    e) All members will abide by all current written rules, policies and procedures.

    f) All Active members must attend at least one club meeting per fiscal year.

    g) All contributing members’ responsibilities shall be the same as those for active members, with the additional responsibility of instructing classes in exchange for consideration both practical and financial as determined by a consensus of the Board.

Section 6 Termination of membership: Membership may be terminated by:

    a) Resignation: Any member in good standing and free from debts to the Club may resign from the Club upon written notice to the secretary.

    b) Lapsing: A membership shall be considered lapsed and automatically terminated if dues remain unpaid thirty (30) days after becoming due: however, the Board of Directors may grant an additional ninety (90) days of grace to such delinquent members in meritorious cases. In no case shall a member whose dues are unpaid on the date of meeting be entitled to vote at that Club meeting.

    c) Expulsion: A member may be suspended or expelled for conduct which is 1: improper or 2: prejudicial to the welfare or reputation of the Club or 3: which fails to live up to Club responsibilities and expectations. Such suspension or expulsion can be made only by a four-fifths (4/5) vote at a regular or special meeting of the Board of Directors with ten (10) days written notice to the member concerned: said notice shall include a full statement of the charges. This member shall have full opportunity to be heard at the meeting before a vote is taken.

ARTICLE 3 Meetings and Voting

Section 1 Quorum: The quorum for the club as it pertains to all regular meetings, special meetings and elections shall be a minimum of two (2) Board Members and 10 % of the voting membership in good standing present at the beginning of each meeting.

Section 2 Regular and Special Club meetings: Business meetings of the Club shall be held at such hour and place designated by the Board of Directors. Written notice of each meeting shall be given by the Secretary at least thirty (30) days prior to the date of the regular meeting and fifteen (15) days prior to the date of a special meeting. The President must submit an agenda to all members who are present for the meeting. Members may place an item on the agenda by contacting the president at least two (2) days prior to any Club business meeting.

Section 3 Board Meeting: The first meeting of the Board shall be held no more than thirty (30) days after taking office. Other meetings of the Board of Directors shall be held at such times and places as are designated by a majority vote of the entire Board. Written notice of each meeting and the planned agenda shall be given by the Secretary at least fifteen (15) days prior to the date of the meeting. The quorum for all Board meetings shall be a majority of the Board. Members of the Board of Directors must attend a minimum of eighty percent (80%) of Board meetings each year.

Section 4 Voting: each active member who is in good standing and who has paid membership dues for the current year shall be entitled to one vote at any meeting of the Club which he/she is present.

ARTICLE 4 Directors and Officers

Section 1 Board of Directors: The Board of Directors shall be comprised of 7 members. The President, Vice-president, Secretary, Treasurer, a representative of the Training Committee and two members at large. One and the same person may hold no two of the forgoing offices at one and the same time. All individual Board members shall be active members in good standing of the Club. All officers are elected for a term of one (1) year. All Board member positions expire after one year. Members at large positions will be elected by the membership at the annual election in November.

Section 2 Officers: The Club’s officers consisting of the President, Vice-President, Secretary, and Treasurer, shall serve in their respective capacities both with regard to the Club and its meetings and the Board and its meetings.

    a) The President shall preside at all meetings of the Club and or the Board. He/she shall be responsible for the day-to-day operation of the Club and for ensuring that all orders and resolutions of the Board and the membership are carried into effect. He/she shall have the power to execute any contracts requiring superintendence of the other officers of the Club and shall see that their duties are properly performed. He/she shall be the primary liaison between the Club and other organizations. The president shall submit a report of the operations of the Club at each business meeting and shall keep the Board informed of any and all matters within his/her knowledge, which the interests of the Club may require to be brought to their attention. The President shall appoint 2 club members (non Board Members) to do a yearly audit of the financial records of the club. This shall be done prior to the annual November meeting each year. The president will vote on club matters only to break a tie. The President shall also carry out such other duties as specified in these Bylaws.

    b) The Vice-President shall perform all the duties assigned to him/her from time to time by the President or the Board of Directors. In the absence or incapacity of the President, The Vice-President shall have all the powers and shall perform all the duties of the President.

    c) The Secretary shall keep full minutes, including all acts and votes, of all meetings of the Club and the Board, and in all matters of which the Club shall order a record. Copies of minutes of Club business meetings shall be mailed to Club members within seven (7) days of the meetings. The Secretary shall have custody of and properly keep all record books of the Club and correspondence and carry out such other duties as specified in the Bylaws.

    d) The Treasurer shall collect and receive all moneys due or belonging to the Club. He/she shall deposit the same in a bank designated by the Board in the name of the Club. The treasurer shall dispose of funds of the Club as he/she is ordered by the Board or the membership, taking proper receipts for such disbursements. The ledger books shall at all times be open to inspection by the Board. The Treasurer shall report to the membership at every Club business meeting the condition of the Club’s finances and every item of receipt or payment not before reported and at the annual meeting shall render an account of all moneys received and expended during the previous year. All expenditures must be authorized by a majority vote of the Board of Directors or the Club membership.

Section 3 Additional Board of Director members.

    a) Training Committee Designee shall represent the training interests and issues of the members to the Board.

    b) 2 Members at large shall represent the interests and issues of the members to the Board.

Section 4 Resignations; any officer may resign at any time by giving a written notice to the President or Secretary. Such resignations shall take effect at the time specified therein; and unless otherwise specified therein, the acceptance of such resignation shall not be necessary to make it effective.

Section 5  Vacancies: Any vacancies occurring among the Club officers during the year shall be filled for the unexpired term of office by a majority vote of all the members of the Board at its first regular meeting following the creation of such vacancy, or at a special Board meeting called for that purpose.

ARTICLE 5  The Club Year, Annual Meetings, Elections

Section 1 The Club Year: The Club’s official and fiscal year shall begin on the first day of January and end on the last day of December.

Section 2 Annual Meeting: The annual meeting shall be held in early November at such place, date, and hour as designated by the Board of Directors. Written notice of the annual meeting shall be given by the Secretary at least thirty (30) days prior to the date of the meeting. 

Section 3 Annual Elections: At the annual meeting, officers for the ensuing year shall be elected from among those nominated in accordance with Section 4 of this article. The nominated candidate receiving the greatest number of votes for each office shall be declared elected. In case of a tie, members shall vote on the tied nominees until the tie is broken. No member may be a candidate in a Club election who has not been nominated.

Section 4 Nominations: No member who is not an active member in good standing may be a candidate in a Club election.

    a) The Board of Directors appoints a Nominating Committee of not less than three (3) members of the Club, no members of the Board of Directors, for the nomination of the Officers to be voted upon at the ensuing annual meeting. It shall be the duty of the Nominating Committee to provide a report of its nominations to the Board of Directors prior to the annual meeting, which report shall be distributed by the secretary to the members together with the notice of the annual meeting. Nominations other than those made by the Nominating Committee may be made by any member of the Club (in good standing) at the annual meeting.

Section 5 Where not specified, procedures outlined in “Roberts Rules of Order” will be implemented.

Section 6 Event Planning: To ensure that the Club fulfills the obligations to its sanctioning organizations, the Club by the end of October, determines its events for the following year. The membership shall establish a event committee chair for each event and charge the chair with coordinating the required contacts and filings as well as setting dates, locations, judges, and other operational details as needed. The Club may also specify a sanctioning body, date, location, and other guidelines or limitations for each show committee established.

ARTICLE 6 Committees

Section 1 Appointment of Committees: The Board of Directors shall establish one standing committee, the Training Committee, which shall consist of three (3) or more members with agility experience who shall be designated by the Board. The purpose of this committee shall be to oversee issues of trainers and training, safe training practices, administration of classes.

The Board may establish ad hoc committees to advance the work of the Club in such matters as agility trials, trophies, annual awards, membership, equipment maintenance, and other fields that may be well served by committees. The Board shall also designate the chair of each committee.

Each committee shall have a clear objective defined by the Board as well as any limitations or operating guidelines.

Such committees shall always be accountable and responsible to the Board. Special committees may also be established to aid it in particular projects.

Section 2 Termination of Committees: Special committees are automatically terminated when they have completed their work. However, the Board upon notice to the appointees may terminate any committee, except the nominating committee, and the Club membership will be notified.

Section 3 Committee Actions: The Training Committee once established shall be granted the discretion of action needed to fulfill its officially defined objectives. Changes in the committee’s purpose or limitations on its actions shall be voted upon by the Board of Directors.

ARTICLE 7 Amendments

Section 1 Proposing Amendments: Amendments to the Constitution and Bylaws may be proposed by the Board of Directors or by written petition addressed to the Secretary and signed by ten (10) members in good standing or fifty percent (50%) of the membership, whichever is smaller. Amendments proposed by such petition shall be promptly considered by the Board of Directors and submitted to the membership for consideration along with recommendations from the Board of Directors within ninety (90) days of the date when the Secretary received the petition.

Section 2 Voting: The Constitution and Bylaws may be amended by a three-quarter (3/4) vote of the active members present and eligible to vote at any regular or special business meeting called for this purpose, provided the proposed amendments have been included in the notice of the meeting and mailed to each member at least thirty (30) days prior to the date of the meeting.

ARTICLE 8 Dissolution

Section 1 Dissolution: The Club may be dissolved at any time by written consent of no less than two-thirds (2/3) of the voting membership. In the event of the dissolution of the Club, whether voluntary or involuntary or by operation of the law none of the property or the Club nor any proceeds thereof nor any assets of the Club shall be claimed by nor distributed to any members of the Club, but after payment of the debts of the Club, its liquidated property and assets shall be given to at least three (3) charitable organizations for the benefit of dogs. These organizations shall be selected by the Board of Directors.
